This week Mikal Ventures brings you a 4-week breakdown of the non-US capital market with an emphasis on the Mikal verticals. Over the 4-week period ending May 29, a total of 1,545 new companies were added, with 101,688 companies included in the non-US Health Tech, Med Tech, Fin Tech, AI Tech, and Ed Tech verticals. The non-US AI Tech saw the greatest percentage growth in new companies for the period, weighing in at a notable 27%, nearly two times the overall vertical average of 15%. As we approach what is certain to be the beginning of the Fed's rate cutting cycle and the recent period of inflationary pressure ebbs, it's worth stepping back and looking more broadly at how prices by category have changed over the last couple of decades. A few specific comments: - Hospital services not only leading the pack for the last two decades but also nearly guaranteed to be a problem for the next two decades as population demographics push more demand into the system while regulatory and other frictions keep supply constrained. This one will not end well IMO. - College costs are maddening in that it's pretty difficult to argue the education product is meaningfully better than it was two decades ago, but country club ancillary services arms races continue to drive increased costs to students without really changing long term outcomes in any meaningful way. Add debt support structure let alone loan forgiveness and market efficiency here is woeful. Also, college textbooks world may as well be run by organized crime. No other "book" market over the last two decades looks anything like it in terms of increase and then sustain. - Food and housing running in parallel is pretty surprising. One has much higher level of supply constrain than the other and underlying input costs + global supply flows would lead one to believe they should be much less correlated. Begs the question of how much price increases are set by "ability to pay" vs. "cost to supply." - Technology advances are obviously highly deflationary but TVs at -98%! That's a lot of percents. Should I use only equity for my search fund acquisition? 👇 If you can convince enough shareholders to part with their cash in order to purchase a company, this is the simplest way to go. A few thoughts: 1. Equity carries no covenants or external limits on how you and your team run the company. 2. Since there’s no debt, you have a higher risk tolerance. 3. Equity investors are patient. Debt holders are not. 4. Investors get well rewarded for shared success. If you do well, they do very well. This can make it easier to raise capital. 5. Some companies are not a good fit for debt. Lenders like predictable cash flow, hard assets and a history of profitability. 6. Equity is easy to raise compared to debt, which involves due diligence, counterparty risk, and tight terms. On the other hand, equity is expensive. You will have to give away the value of the money up front, and more.

As an operator for a private equity firm, one question I frequently heard from my board during meetings was, "Are we tracking our New ARR to Sales & Marketing cost?”. It might seem simple on the surface, but this ratio holds immense power for any company with a subscription-based business model. Why does it matter? ↳ Efficiency Indicator: shows how efficiently your sales and marketing spend converts to recurring revenue ↳ Resource Allocation: helps to better allocate your overall budget between running existing business and acquiring new logos ↳Future Growth Predictor: provides insights into the direct impact of investments on revenue growth to forecast & plan better For B2B SaaS companies, below are some general ranges to consider: a. Early-stage, High-Growth Companies: Less than 1 (spending more on S&M than New ARR) b. Growth-Stage Companies: 1 - 2 (spending 50% - 100% of New ARR on S&M) c. Established Companies: 2 - 3+ (spending less than 50% of New ARR on S&M) Since this metric can vary based on industry and other factors, it’s important to track it over time to assess the effectiveness of your customer acquisition and identify areas for improvement. Interest rate uncertainty continues to weigh on buyout and exit activity, while record dry powder for the asset class remains stacked for 2024, the data found.

Valuation Monday Pt 2. - For anyone looking to break into buy-side finance: Not all company growth is created equal. What do I mean? If you have a low ROIC company (Return on Invested Capital), investing in revenue growth will actually devalue the company. Strange, right? Let's look deeper. Let's say a company's WACC (Weighted Average Cost of Capital) is 10%, but its ROIC is 5%. For every dollar invested in revenue growth, a negative 5% return on investment is manifesting. This is because the cost of growing the company is more expensive than the revenue itself. Low ROIC companies should focus on fixing ROIC issues, which at the core indicate a lack of any form of competitive advantage. High ROIC often indicates a great competitive advantage. ROIC also tends to erode over time as new competitors enter a market, technology changes, etc. Companies that can sustain higher ROIC growth than their industry average for long periods of time tend to command very high valuations because they are efficient with invested capital. If an investor gives them money, they tend to have more certainty that it will result in value being created. To summarize: 1. Low ROIC companies should focus on building moats and efficiency. 2. High ROIC companies should invest in growth. 3. ROIC differs by industry. 4. If WACC > ROIC value is destroyed, if WACC < ROIC value is created. What is a company that has an interesting ROIC? Either low or high, and how would you fix it or take the opportunity to invest in it. The best answer will get 30 minutes to ask me anything they would like in the next month. In April, OpenAI Controller Sowmya Ranganathan walked me through how her accounting team leverages ChatGPT to revolutionize the close process. I instantly knew we needed to share her story with the broader finance community. Accuracy and process are core to accounting workflow, so it can be intimidating to stray from traditional approaches. In our webinar last week, Sowmya walked through some brilliant demos, illuminating how you can automate repetitive and time-consuming tasks with ease. We’ve also distilled her advice into a how-to guide: https://lnkd.in/gbheYKf2 Here are some of the pro tips she shared: ⚫ Seek out ways to automate. When you’re repeating a task that takes more than a few minutes in Excel - or something you hate about the close process, rewire your brain to find a way to automate it. Those minutes quickly add up to streamline your day-to-day workflow. This works with the close process, but also many other projects in finance and beyond. ⚫ Be curious about code. While she’s not a trained programmer, Sowmya uses ChatGPT to create Python scripts to build pivot tables and parse through massive CSVs. Her team can categorize a full month of OpenAI’s Azure usage data 👀 in 10 seconds 👀, whereas before they’d have to manually process the data every few days to avoid hitting Excel’s row limits. ⚫ Train ChatGPT on your company’s specific guidelines. After Sowmya ran a prompt to recognize revenue from a transaction file, she asked ChatGPT to cross-check it against their audit firm’s ASC 606 guidelines, which she uploaded as a PDF. The result was nearly the same, but it added an extra step to protect against hallucinations. And, she always triple-checks the results. ⚫ Don’t fear the error message. Pre-ChatGPT, if she was working on an automation project and received a technical error message, she might have given up. Today, Sowmya dumps the message back into ChatGPT, where it can diagnose and resolve any issues. You can see this problem-solving in action during her demo!
