- With distributions harder to come by this year, more firms have been thinking about GP-led secondaries processes as an alternative path to exit. -Far from being a short-term fix, however, some believe these transactions could be seen as a “new normal” for exiting private equity assets. - A number of LPs are assuming that there will be little to no IPOs - Today you have more deals being done on the GP-led side than on the IPO side. - There could be €50 billion to €60 billion worth of GP-led transactions executed this year. - Supply is coming from GPs looking for alternative exit routes, demand is also coming from new LPs entering the sector.

Since early 2021, VC quarterly exit values have plummeted to $50B or below, a stark contrast to the six consecutive quarters of $100B+ exits before then. With IPOs dwindling and M&A activity slow, the future of venture industry exits appears uncertain. Will we see a surge in private venture-backed company acquisitions? This could be a crucial and innovative strategy to boost VC exits. Interest rate uncertainty continues to weigh on buyout and exit activity, while record dry powder for the asset class remains stacked for 2024, the data found.

Juniper Square recently released their look back at the state of venture in Q2 2024, and the data is interesting. 👉 The liquidity drought continues to stifle fundraising, with $37.4B committed to 255 funds YTD. 👉 In the current climate, established managers are securing 77% of fund value YTD, the highest concentration in the last decade.  👉 Over 63% of capital raised in 2024 so far is in funds of $500M+, the second-highest percentage in the last decade. 👉 Q2 reflects an uptick in US venture deal momentum, with quarterly deal count climbing to the highest level since Q2 2022. 👉 Q2 data shows a third consecutive upward quarter in both exit value and the total number of exits.  👉 Q2 hit a 9-quarter high in total number of exits, and the total exit value recorded was the second-best quarter since Q1 2022. The data shows that the landscape is especially competitive for emerging managers. When it comes to generating returns though, a fresh perspective can help find the most interesting deals. Also income margin compression, also explained away via same reasoning. Company has healthy pipeline visibility, so comments on summer seem valid. "Due in part to the strength of our Summer backlog, we expect year-over-year revenue growth to accelerate in Q3 2024 compared to Q2 2024." • Healthy income generation, $264m GAAP NI • $11B cash • $22.9B GBV • Nights booked 132.6m, +9.5% y/y • ADRs around 2% (good for inflation) Nobody likes steep decel and margin compression expectations. His career started when someone said to him, “well, have you thought about venture capital? We don’t think that you’d be any good at it.” The rest is history. Today’s Alt Goes Mainstream episode features one of the legends of the venture capital industry. Peter Barris joined New Enterprise Associates (NEA) in 1992 after a storied operating career as President and COO at Legent Corporation and an executive at GE Information Services. He served as Managing General Partner and Chairman of NEA from 1999 to March 2024. Under Peter's leadership, NEA saw tremendous success, growing into one of the world's largest venture capital firms and raising the largest-ever venture capital fund a number of times. Today, NEA's AUM stands over $25B. Peter was responsible for investing in a number of foundational and industry-transforming technology companies, including Salesforce, UUNET, Groupon, WebMD, Workday, CareerBuilder, Tempus AI, and more. We had a fascinating discussion about the early days of venture capital and how the industry has evolved. Dan Primack had some pointed criticism for #VC yesterday in his Axios Pro Rata newsletter (a daily must read IMO 😤). In short, the model doesn't work if it can't produce exits for LPs. Don't blame public markets (which are at all-time highs) for the lack of liquidity either. 📈 💸 Instead, this is a "liquidity drought of your making" where "...swinging for the fences on every pitch, rather than taking the single or double that's available" is the only way out when you invest at "sky high valuations." 😰 "A whopping 37% of "unicorns" are being held for at least nine years by VC funds, including 13% that are past the 12-year mark." 😳 ⌛ Is he right? ⛳ Emerging fund managers pulse check. PitchBook tracks over 10,000 funds that are raising money, with 45% being emerging fund managers (defined as firms with less than 3 funds). Despite a dip in available capital—down to 16% from the pre-pandemic 23%—these managers are finding creative ways to stay competitive, like partnering with larger firms. 💼 Joanna Drake (founder turned investor) shared how "wildly different" it is raising a fund versus for a startup. One key datapoint she shared on the fund side was how little feedback you get along the way (and the years you can wait for it). The “long-winded and challenging process to raise capital” inspired Drake and Ben Black to create RAISE Global, a community for emerging fund managers and the “forward-thinking LPs” who back them. (A decade later, several hundred emerging managers with AUM under $200m are on the platform) They've found the newest emerging managers are more diverse and geographically dispersed than Silicon valley, and more were able to crack the ceiling and raise larger $100m funds (although this is still a small % of the market, requiring partnership with larger funds at the late stage). ▶ And not a hugely surprising datapoint: A lot of action is in the sub $49 million range, where roughly 50% of emerging managers are raising. Theresa Sorrentino Hajer, Head of U.S. venture capital research at Cambridge Associates warns that past success isn't actually a strong indicator on it's own to assess emerging managers. We've had a valuation reset. And newer managers with investments during the 2019-2021 "party days", need to build relevant track record and play to their strengths. A lot of emerging managers are specializing (70% who applied for Raise had a thematic focus), and betting on getting in as early as possible in the startup's lifecycle (Raise: 31% at accelerator/ pre-seed stages, and 47% at seed stage). “Emerging managers have to compete on a different dimension,” Nick Moran from New Stack Ventures. You're no longer just dealing with capital. Emerging VC's need to be as innovative and nimble as the startups they invest in, having a unique thesis and insights. They also play a role at the top of the deal-flow funnel: helping larger firms find promising companies, so finding a thesis, sector or philosophy aligned partner at a larger firm is helpful. The Council's first SPV of 2024 is down in the books and oversubscribed. Running SPVs where we have pro rata or extra allocation in fund deals is a muscle we are building pretty late in the game as a firm. As a solo GP with a tiny team, it's crippling to think of the extra work required and risk of not meeting platform minimums to run an SPV. But 7 of our port co's have recently raised follow on funding where we had pro rata. These are awesome deals for our LPs, angel members, and syndicate community. We simply can't afford to let them slip through the cracks. These allocations are only becoming more valuable as our firm grows, so we must start NOW! Proud to say this one went off without a hitch and our syndicate community is small but THRIVING. Wish us luck as we keep building. Note our SPVs are now on Sydecar. The best way to get access is to know someone on The Council Fund team and be on our SPV email list. **What's an SPV?** An SPV is a Special Purpose Vehicle. It allows multiple angel investors to pool together into one larger investment into a company. This helps the founder keep paperwork and investor relations to a minimum (less names on the cap table = simplicity!). When people say they're investing with a "syndicate" or they are "syndicating a deal," SPV is the entity and process by which they do that. A "syndicate" is like a community of people that invest via SPVs together.

Friends, Q2 was a quarter of progress and learning for us at HawkTower, where we invest in early-stage startups applying breakthrough computing technologies to maximize California's natural resource markets. Our focus is on technology-enabled interventions (e.g., AI-enabled geospatial radars for lithium-ion batteries in the waste stream) for critical, market-level imperatives (e.g., disaster prevention) that can drive rapid commercial adoption (e.g., placed on every recycling truck in the world). Our current investment priorities are: - Agricultural productivity and efficiency - Biomanufacturing - Labor and mobility automation - Waste stream optimization and decarbonization - Disaster prevention and management Here’s a snapshot of what we’ve been up to: Milestones and Investments: - In late April, we officially launched our fund, filing with the SEC. Yay. - By June, we completed our first fund close ahead of schedule, with backing from family offices, foundations, high-net-worth individuals, and organizations aligned with California's future. - Our portfolio now includes three early-stage investments (Farm-ng, Agriful Software, and Nexstera Tech). Strategic Partnerships: - We believe that startups operating closer to their customers and resources, especially in agriculture and biomanufacturing, have a strategic advantage. For instance, the Salinas Valley, a major agricultural hub, is less than an hour from Silicon Valley and serves as a center of thought leadership in the convergence of agriculture and AI (from Western Growers, Taylor Farms, and others). - Similarly, the North San Joaquin Valley is emerging as a biotech and agtech innovation hub, and we are proud to support BEAM Circular, a startup hub for the circular bioeconomy. Key Relationships: - Karen Warner, CEO of BEAM Circular, joined HawkTower as a strategic advisor. - Jackie Cruz, Ed. D. PE - Gross & Operating Margins <> Unique & Compelling Value Proposition, from Pat Grady on the "Invest Like the Best" podcast Pat Grady, Growth Equity Investor: "Unique and compelling value proposition is a comment on margin structure. If you have a unique value proposition, that should show up in Gross Margin because if your product is truly unique, you should be a price setter, not a price taker. And if you are a price setter, you should be able to set a price that's going to provide you with nice gross margins. So unique value prop gets you to a good gross margin. Compelling value prop is a comment on Operating Margin. If your product is truly so compelling, you shouldn't have to bludgeon people to death with sales and marketing to get them to try it and to get them to pay you for it. So if it is truly compelling, that should show up in the efficiency of your go-to-market organization or maybe there's a number like new ARR divided by sales and marketing where there's a number like LTV to CAC or there's a number like payback period. There should be some number or maybe 99% of your new customers come in organically." I’m a strong believer in the idea that leading is largely about building empathy. The job isn’t just helping others understand the mission - it’s helping them complete the mission and building alignment through personal context. To take it a step further, you can’t be empathetic if you aren’t curious. Curiosity drives us to ask deeper questions - those questions build empathy and, then, we become more aligned.

Patience and vision - the two key ingredients for successful long-term investment. As a Managing Partner at Black Slate Capital & Advisory, I've seen firsthand how growth capital can transform underperforming assets into billion-dollar success stories. It's not just about the money; it's about having the foresight to see the potential and the patience to let it unfold. In the private investment world, we often talk about the importance of a great vision. But what does that really mean? To me, it's about seeing beyond the immediate returns and focusing on the bigger picture. It's about investing in companies that have the potential to make a real impact, whether that's through innovative technology or by addressing a pressing social need. Of course, this approach requires patience. Rome wasn't built in a day, and neither is a successful investment portfolio. 💰Sharing a List of 80 Black-led VC funds (US based): About this list: I realized that I couldn’t find a current list of Black-led funds as of 2024 when a lot of new funds have launched over the last couple of years including GPs Sydney Paige Thomas, Terri Burns and more. I have been gathering a list of these funds in my network, and that I could find publicly over time so wanted to share with the ecosystem. Only 2% of VC funds are Black-led: I found 80 funds (maybe there’s more!). There are 3,417 VC firms in the US (according to NVCA). Founders - These funds invest from pre-seed through growth, some with a focus on diverse founders, others more broadly. ⅔ of them have OPEN funding applications that I’ve linked in the sheet. LPs - As mentioned, a number of these funds might not be in the databases used for tracking, so hope to get some more Black-led funds on your radar!
