Milbank acted as English restructuring and global antitrust counsel to Roche on the completion of its acquisition of LumiraDx group’s Point of Care technology, an innovative diagnostics platform. The transaction represents an innovative use of English pre-packaged administration sales to carry out the carve-out of an entire business unit from a complex corporate group and required worldwide coordination across practice areas. Advent International and the Otto Group agreed to sell Evri to Apollo-managed funds. Milbank LLP advised the Otto Group on the transaction. The transaction is expected to close in the third quarter of 2024. Evri is a leading UK parcel delivery company with a strong national network purpose-built for third-party e-commerce parcels, serving, on average, more than 12 million customers per week. Milbank had previously advised the Otto Group on the sale of a majority interest in Evri (formerly Hermes Parcelnet) to Advent International. Milbank represented Willow Bay, Dean of the USC Annenberg School for Communication and Journalism, and Bob Iger, CEO of the Walt Disney Company, in connection with the acquisition of a controlling interest in Angel City Football Club (ACFC), the Los Angeles women’s professional soccer team. Ms. Bay and Mr. Iger will acquire the controlling stake in ACFC at an enterprise value of $250 million, making it the most valuable women’s sports team in the world and establishing a new era for investment in women’s sports. Sinjini was joined by Jeff Dorst, Managing Director and Liability Management practice leader at Houlihan Lokey. The panel was moderated by Sabrina Fox, Chief Executive Officer of ELFA.
