Exchange Transactions Definition

Exchange Transactions means, collectively, the transactions that have or will occur pursuant to the Exchange Transaction Documents.

Exchange Transactions has the meaning set forth in the recitals.

Each Limited Partner may Transfer Units in Exchange Transactions pursuant to, and in accordance with, the Exchange Agreement (provided that such Exchange Transactions shall be effected in compliance with policies that the General Partner may adopt or promulgate from time to time (including policies requiring the use of designated administrators or brokers)).

Exchange Transactions means, collectively, (a) the execution and delivery by the Issuer and the Guarantors of this Indenture, an amendment to the Collateral Agreement, the Intercreditor Agreement Amendment and other related documents to which they are a party and the issuance of the Notes hereunder, and the performance by the Issuer and the Guarantors of this Indenture, the Collateral Agreement as so amended, the Intercreditor Agreement as so amended and such other documents, (b) the execution, delivery and performance by the Issuer and the Guarantors of the second supplemental indenture to the Convertible Notes Indenture, (c) the performance by the Issuer and the Subsidiaries party thereto of the Credit Agreement and related security documents and borrowings thereunder and (d) the payment of related fees and expenses.

Exchange Transactions has the meaning assigned to the term “Transactions” under “Summary—The Transactions” in the offering memorandum, dated October 2, 2018, and any other related transactions or corporate actions necessary or desirable to implement the Exchange Transactions as determined in good faith by an Officer or the Board of Directors of the Issuer.”

Exchange Transactions refers to transactions whereby holders of Preferred Stock exchange Preferred Stock for shares of Common Stock and/or the Notes pursuant to Exchange Agreements dated as of August 24, 2012 or Exchange Agreements executed after the Closing Date that are determined by the NYSE to be a series of transactions related to the Exchange Agreements dated as of August 24, 2012 under Section 312.03(b) of the New York Stock Exchange Listed Company Manual.

Exchange Transactions shall have the meaning ascribed to it in Clause I13.1.1.

Exchange Transactions means the transactions set forth in Section 2(a) of this Agreement.
