XXX and Provider execute this Amendment as of the Effective Date.
Commencing on the Effective Date and continuing through the remainder of the Term, Tenant shall be responsible for maintaining the portion of the utility lines located within the Premises and shall pay for all gas, water, electricity, telephone, and other utility services used or consumed in or about or furnished to the Premises during the Term and shall pay all sewer use fees or similar charges made or imposed with respect to or against the Premises during the Term.
Oracle will, at Oracle’s expense, indemnify and defend Client from and against any liabilities, losses, damages, costs, and expenses resulting from a third-party claim that the Oracle materials infringes or misappropriates any U.S. patent issued as of the Effective Date or any copyright or trade secret of a third party during the term of the Agreement so long as Client follows the procedure set forth in Section 10.1, above.
The parties hereby agree and acknowledge that immediately prior to the Commencement Date, Tenant or an affiliate of Tenant has been in possession of the Premises and, as such, Tenant shall take possession of the Premises on the Effective Date hereof.
The Term of this Agreement shall be ten (10) years and this license shall expire on the ten (10) year anniversary of the Effective Date.
