Examples of Collateral Agent in a sentence
Each Grantor shall cause each bank and other financial institution which maintains a Controlled Account (each, a “Controlled Account Bank”) to execute and deliver to the Collateral Agent, in form and substance reasonably satisfactory to the Collateral Agent, an Account Control Agreement with respect to such Controlled Account duly executed by the Grantor and such Controlled Account Bank.
The Guarantor hereby unconditionally and irrevocably waives any duty on the part of the Collateral Agent or any Noteholder to disclose to the Guarantor any matter, fact or thing relating to the business, condition (financial or otherwise), operations, performance, properties or prospects of any other Transaction Party or any of its Subsidiaries now or hereafter known by the Collateral Agent or a Noteholder.
Any Grantor will promptly furnish· to the Collateral Agent a statement describing in reasonable detail any such loss or damage in excess of $25,000 per occurrence to any such Equipment.
Without limiting the generality of the foregoing, the Guarantor’s liability hereunder shall extend to all amounts that constitute part of the Guaranteed Obligations and would be owed by the Company to the Collateral Agent or any Noteholders under the Notes and any other Transaction Document but for the fact that they are unenforceable or not allowable due to the existence of an Insolvency Proceeding involving any Transaction Party.
All notices and other communications provided for hereunder shall be in writing and shall be mailed (by certified mail, first-class postage prepaid and return receipt requested), telecopied, e-mailed or delivered, if to any Grantor, or if to the Collateral Agent or any Noteholder, to such address as shall be designated by such Person in a written notice to all other parties hereto complying as to delivery with the terms of this Section 9.
