Cause shall be defined as any material breach of contract, any misrepresentation or fraud on the part of the Contractor.
The Corporation shall have the right to suspend any and all rights or benefits awarded to the Participant hereunder, including vesting and settlement of the RSUs, pending its investigation and final determination with regard to whether the Participant has engaged in conduct constituting Cause or that would warrant application of the Recoupment Policy or Recovery Policy.
Further, nothing in the Plan or this Agreement shall be construed to limit the discretion of the Company or an Affiliate to terminate the Participant’s employment or service with the Company or an Affiliate at any time, with or without Cause.
For Cause – In the event of a material breach of this Agreement, the Party not breaching the Agreement may upon five (5) business days written notice delivered or mailed to the other party, which notice must identify the material breach.
The Company shall have the right, upon ninety (90) days’ prior written notice given to the Executive, to terminate the Executive’s employment for any reason whatsoever (except for Cause (as defined below)))).
