    Our study contributes to the growing literature of corporate governance by investigating 349 events where an executive of a firm is nominated for an outside directorship in a publicly
    traded firm. We find evidence that investors react negatively when executives with prior directorships accept an additional outside director appointment and when the executive’s primary employer has greater potential agency problems. When fewer potential agency problems exist, however, we find that additional outside directorships for an executive are related to higher announcement returns. We also find that announcement returns are greater when the executive joins the board of a financial firm, a firm in a similar industry, or a firm with more growth opportunities. Our results suggest that outside directorships for executives can enhance firm value, possibly through learning, networking opportunities or signaling of managerial quality. These insights have important implications for firms employing executives asked to be nominees for an outside board and for possible policy recommendations restricting the number of outside directorships.

Because we use the lake itself as our highway, we call it water based.
