Great to see StructureFlow featured in The Times and included in the discussion on how AI is changing the legal sector. As Katie Prescott writes, "a generation of smart lawyers has emerged questioning the status quo. Tim Follett, 40, a former Slaughter and May lawyer, founded StructureFlow, which raised $6 million in May. He said his cohort looked around and wanted to fix “archaic ways of working, things that hadn’t changed for decades, lots of manual and repetitive work, late nights and high stress”. It was a pleasure to join today's discussion with Ben Ticehurst and Chris Boddy on recent changes to corporate criminal liability in the UK and the introduction of the new failure to prevent fraud offence under the Economic Crime and Corporate Transparency Act 2023 (ECCTA), hosted by ACC Europe – Association of Corporate Counsel. We originally ran this back in May as an in-person event in London, and had dared to hope by now to have the much-anticipated government guidance concerning the "reasonable procedures" fraud prevention defence. However the tiny matter of a snap UK general election and a new administration means we need to hold on just a little bit longer. That said, there is still lots for businesses to be getting on with. Below are some of my key takeouts from our discussion: 😕 Don't panic - but don't be complacent. ➡ Your organization likely already has frameworks like COSO or 3LOD in place that can help towards ECCTA compliance. And many themes are similar to concepts in the familiar UK Bribery Act 2010 around failure to prevent and operating adequate procedures. But in-house counsel must remain curious and, whether you’re new in role or an established part of the team, it is always useful to look afresh at your processes to ensure they’re really working well to protect the organization. 🚨 Proper risk assessments are fundamental to success. ➡ Realistically you can’t just take a Code of Conduct or Economic Crime Policy off the shelf and hope it does the trick. Conduct a thorough risk assessment tailored to your organisation and industry. This provides the foundation to build a sound compliance program and effective controls. And of course, don’t forget to keep reviewing that assessment regularly as new risks emerge and old ones evolve. 💼 Define your senior managers. ➡ ECCTA emphasises holding individuals accountable for misconduct beyond directors, so you need to identify those in your organisation who make decisions that could give rise to fraud risk. This means looking beyond job titles to figure out who is actually in scope to ECCTA. Once identified, you can create engagement strategies tailored to these key risk figures. 📢 Tone from the Top. ➡ It is taken for given that there will be Board and ExCo level support for anti-fraud measures. But is a consistent message coming from leaders at all levels of an organisation? Consider who people take their lead from in terms of what is - and is not - OK at work. So that leaves us on tenterhooks for the government guidance...given ECCTA came into effect on Boxing Day 2023, perhaps we will enjoy the pleasure of another ECCTA festive gift in 2024? 🎅 #ACCEurope #ACCE #ECCTA #Compliance #InHouse

Watch this space: H2O Asset Management revealed in its annual report for 2020 that it was under investigation from the FCA. We're now in 2024 and it looks like British market regulators are about to conclude their case. There's talk of a pot of money to compensate investors - who would be offered to take a deal - and of the FCA considering whether a fine would be appropriate. https://lnkd.in/d7uxKDyi
