Cineworld have reportedly instructed AlixPartners to assist them in preparing a Company Voluntary Arrangement following a review of UK operations. Arguably this has been on the cards for some time, even as far back as the pandemic when there were talks of a CVA in late 2020. Threats of administration followed in 2023 but a subsequent refinancing prevented a formal insolvency process. This is despite a myriad of factors adversely impacting the sector. More films going direct to streaming services, US writer strikes resulting in delays in blockbuster releases and general apathy from consumers toward the quality of films being released have impacted the bottom line of many cinema chains. This is on top of the well documented issues for consumer facing sectors in the midst of a cost of living crisis. Whilst there is no visibility at present around what the CVA could entail, a starter for ten is likely to be rent reductions and exiting of loss making sites. Cineworld currently operates from over 100 sites in the UK. The fact they are exploring a CVA rather than a Restructuring Plan though suggests to me they consider creditors would be in favour of any CVA proposal mitigating the need for a court sanction and possible triggering of the Cross Class Cram Down, saving costs in the process. CVAs continue to have their place in the restructuring landscape. However it will always intrigue me when a company opts for a CVA over a Restructuring Plan. Whilst there will always be a rationale for the decision it could very easily come under scrutiny in a hypothetical scenario where a CVA is not approved but an equivalent RP would, with the Cross Class Cram Down, be sanctioned. #insolvency #businessrecovery #restructuring #turnaround #business #finance #accountant #london

Will I need to pay #VAT on school fees? One of the most popular questions we have heard from our clients over the last few weeks. As part of its 2024 election manifesto, Labour has committed to the removal of several tax exemptions from private schools resulting in additional VAT costs and compliance obligations. But will it be an automatic 20% addition to fees? Can you and should you consider paying fees up fron? Could there be anti-avoidance rules? Will schools be able to claim VAT on costs and will this in fact lower fees? Lots to think about so our VAT team have outlined a number of potential areas which may be affected by these anticipated changes.
