Mayer Brown advised Sotheby's on the tax and structuring aspects in connection with the sale of a minority stake to ADQ, an Abu Dhabi-based investment and holding company. The total amount of investment is approximately $1 billion. Under the terms of the agreement, ADQ will acquire newly issued shares of Sotheby’s to reduce leverage and support the company’s growth and innovation plans. The team was led by partner Jason Bazar and included partner Lucas Giardelli, senior counsel Thomas Vitale, and counsel David Goett, in the firm’s New York and Northern California offices. Mayer Brown represented Goldman Sachs Bank USA in a $107 million structured warehouse facility granted to a special purpose vehicle for the acquisition of receivables originated by Stori. This latest injection of capital will accelerate Stori's progress towards its mission of democratizing access to quality financial services for the often underserved middle mass population in Latin America, and the funding will support the introduction and scaling of new and existing products. A Mayer Brown team led by partners Jon-Paul Bernard and Gabriel Salinas represented CEMEX S.A.B. de C.V. in the sale by Sunbulk Shipping, S.L.U, of all of the shares it owns in Cemex Dominicana, S.A. and Transportes San Pedro, SRL to a consortium led by Cementos Progreso Holdings, S.L. for total consideration of approximately $950 million. The transaction will affect the sale of the entirety of CEMEX’s cement, concrete, and aggregates business in the Dominican Republic, and includes Cemex's export businesses in Haiti.
