Commentary… The distinction between the two is that independent directors are expected to act independently of the interests of any particular shareholder; while nominee directors represent the interests of the nominating shareholder. A nominee director is... * an individual appointed to a company's board of directors to represent the interests of a specific shareholder or group of shareholders. * They provide oversight, expertise, and protection of the nominating party's interests. * Independent: While representing a shareholder, nominee directors must prioritize the best interests of the company as a whole. * Qualifications: Nominee directors should possess relevant industry knowledge, boardroom experience, financial literacy, and a strong understanding of corporate governance principles. * Transparency: The relationship between the nominee director and the appointing shareholder should be clearly defined and disclosed to the board and other shareholders. * Accountability: Nominee directors have the same fiduciary duties as other directors. Lot of talk around inflation and wealth erosion. There is another type of inflation that erodes wealth of the mind i.e. not continuously Learning and improving oneself. If one thinks that they have learned enough and have stopped learning will first become stagnant and then redundant in the rapidly changing skill demand and evolving market. “But they all LOVED the course!” Lamented X, a client and the CLO of a large organization, holding his head in his hands. Okay, the last part is a bit of an exaggeration, but you get the picture. Just five months earlier, their marquee project, an e-learning course on customer handling, had gone live to massive excitement across the company. And now, the data shows NO improvement in the key metrics. CSAT scores are as low as ever. And employee morale? Even lower. What could have happened? As we rolled up our sleeves and dug in, here’s what we found: 𝗛𝗶𝗴𝗵 𝗲𝗻𝗴𝗮𝗴𝗲𝗺𝗲𝗻𝘁: Everyone loved the flashy design and game elements. And hence the approval rating from the learner population. 𝗪𝗲𝗮𝗸 𝗰𝗼𝗻𝗻𝗲𝗰𝘁𝗶𝗼𝗻 𝘁𝗼 𝘁𝗵𝗲 𝗿𝗲𝗮𝗹 𝘄𝗼𝗿𝗹𝗱: To be fair, the course used real stories to teach some concepts. But they were mostly left hanging with no carryover into practice. 𝗣𝗿𝗮𝗰𝘁𝗶𝗰𝗲 – 𝘁𝗵𝗲 𝗺𝗶𝘀𝘀𝗶𝗻𝗴 𝗹𝗶𝗻𝗸: The biggest opportunity loss. No practice scenarios meant no application, and no effectiveness. 𝗭𝗲𝗿𝗼 𝗿𝗲𝗶𝗻𝗳𝗼𝗿𝗰𝗲𝗺𝗲𝗻𝘁: The course was a one-time occurrence. Once back on the job, employees went back to their old ways, with no reinforcement. 𝗧𝗵𝗲 𝗰𝘂𝗹𝘁𝘂𝗿𝗲 / 𝘀𝘂𝗽𝗽𝗼𝗿𝘁 𝘃𝗼𝗶𝗱: Probably the biggest miss of all. No amount of ‘effective’ training can fix bad culture or a lack of support from managers. So, even highly motivated employees held back and could not perform better. The hard truth? Engagement isn't enough. We need: - Real-world connection - Ample practice opportunities - Continuous reinforcement - Supportive culture Unfortunately, this is not a one-off case... it happens more than not in L&D. But the point is not to wallow in misery. Instead, we’d do well to take a hard look at our practices and see how we can add value to the business and to learners. I used to crave for recognition and rewards but now I don't. We come from a culture where we seek for reward or recognition for every small thing we do. We post pics about philanthropy on social media with the hope of getting likes (social acceptance). As a result, I became a people pleaser for the sake of my ego. But as I matured, I realised that my self worth shouldn't come from social acceptance or my results. The less attached we are to the outcomes, the better it is. I changed the definition of success from focus on outcome to focus on process. Doing the work is enough. Results and rewards are a bonus. The most important result is the person we become during the process. The way we work has changed a lot after the pandemic. Home distractions and binge watching are encouraging working from cafe with no sign of slowing down in future. Switching up your routine surroundings can actually be beneficial and can spark creativity. A few things to keep in mind before choosing a coffee spot as a working space: 1. Where you choose to sit makes a difference. 2. Wifi connection is a must. 3. Don’t forget to bring headphones. 4. Charging points will be an add-on. For a change in scenery, working from a cafe is a great way to conduct work in a refreshing and more informal setting. Financially Independent Retire Early (FIRE) is a trap. Influencers promote these showcasing examples of people who achieved it. But I strongly believe the sample size of the people who achieved it with their salaried income are meager. To break this down, let's go back to the previous post on building wealth - To build humongous wealth, you need three variables - Capital (c), Growth (r) and Timeperiod (t). To achieve FIRE, one cut-shorts the timeperiod of work duration by 10 or 15 years. Automatically, it means, either the rate at which you grow your savings/investment should be phenomenally high or the capital deployed is superficially high to help one achieve FIRE. How many Warren buffets exist in the world who can grow investments at significant rate? How many of the 51 lakh IT professionals in India have access to the sizeable capital, much early in their career, to help them with FIRE? This is fooled by randomness at its best! Two other thoughts on why the plan to retire early is farce. 1) What happens after retiring early? You would eventually become a wealth manager of your own funds, growing funds at a much faster rate than otherwise. Else, you will burn out and get back to workforce sooner. In a way, its a different nature of work, than retirement. 2) To even contemplate FIRE decision, one has to start way too early - 25 years or even before. However, the realization often strikes too late. Our careers are long. Play a long game. You can make mistakes but can recover well from it.

Why should one do an MBA? For many, it's a life altering program, that facilitates dramatic career shifts. Clifton Strengthsfinder Part 2: Ideation, or living like Lord Shiva "People exceptionally talented in the Ideation theme are fascinated by ideas. They are able to find connections between seemingly disparate phenomena." This was my top theme. A resonant finding. What occurs to me is that this strength (perhaps all great strengths) has been a mixed bag of joy and suffering. Here is what I have come across. 1. Being "unbound" as, they say, ideational people like me are, tends to be a poor fit for large swaths of corporate and organization life. A range of structures (e.g. organizational conservatism, intellectual and creative hierarchies, limited rates of/appetites for change) makes ideation seem one of the more vulnerable strengths. A luxury, a nusiance, etc. 2. Ideation is excellent for activities like roundtables and kaizens. One of my strengths has been stimulation, more so than correctness. 3. The power of extreme abstraction gives one practical access to a lot of domains, a certain fluidity of insight that isn't limited by "what one knows." As with two, it gives one a measure of social grace. 4. Part of the job is experimenting, exploring, cycling through efforts. The lack of a supportive environment, expectations of a certain kind of success, and absence of an adequate margin of error have been profound problems I have faced. 5. Doing fresh work around familiar things is easier. For instance, I recently wrote highly individualized copy around very similar cowboy hats, exactly what the job called for. 6. Ideation gives coping skills. If the universe is a blank slate, one can endure considerable amounts of pain, because "who knows what will happen right, right?" One can abstract pain, sources of suffering, and the like. I always had outstanding endurance and a high pain threshold - for me, a far more consequential and important aspect of ideation than "business brainstorming." 7. Being unbound by rationality/connecting to alternate rationality is the ultimate boon of ideation. Irrationality has had a stunning degree of importance in my life. The logic of blank slates and extreme abstractions make it possible. For me, ideation makes me think of Lord Shiva. The great destroyer, reducing things to their abstract core. The friend who dances and says "fear not." I am certain some of this interpretation is will and wishmaking. The desperation of a rural kid from a background that could be called "disadvantaged," needing to endure, needing to escape. Having a intellect and imagination that, just as often as not, experienced himself as ophaned by the mechanisms of American capitalism. Having God, or a face of God, on my side is a beautiful fantasy. No idea if it is true or not. Perhaps it doesn't matter. What does ideation mean to you? I hope to hit all 34 themes.

When a bully becomes a manager, the whole org suffers. A friend is working under one and she is miserable all the time. This org was an epitome of culture. They had a "leave anytime when your work is done" policy. And now she works till 10 pm in the same office, changing formats of Excel sheets, again and again. They have almost 40 paid leaves a year. And she can hardly use any because the manager wants to know everything about her reason for leave. And still not approve them. They had an "open door" policy. Now it is more like your laptop screen is also my screen policy. The manager provides "over the shoulder" commands for half of the day. She is a consultant. How to spot a bully: Bullies are always right. Bullies want to order you around. Bullies will not accept feedback. And for some reason, they are still hired as managers. Too many of her team members have resigned. And she is next. Pity.
