IVY Growth Associates , a prominent micro venture capital firm, has announced the launch of Arigato Capital, a SEBI-registered Category I AIF VC fund, with a target corpus of Rs 250 crore. This sector-agnostic fund is set to invest in startups across a variety of emerging sectors, including agritech, cleantech, generative AI, fintech, consumer brands, and software-as-a-service (SaaS) companies. Arigato Capital aims to begin raising capital in June 2024, with plans to close all commitments over the next 15 to 18 months. The fund targets a first close at Rs 100 crore and will focus on startups beyond the seed stage or in pre-Series A stages, offering an average ticket size of $500,000. The VC fund was founded by Prateek Tosniwal, Rachit Poddar, Mehul Shah, and Sharad Todi, with IVY Growth Associates serving as a limited partner. Through Arigato Capital, IVY Growth intends to establish and expand a global corridor to connect angel investors and startups, with a special focus on the Middle East, the US, and Europe. In addition to launching Arigato Capital, IVY Growth Associates will host the third edition of its startup summit, 21BY72, from June 15 to June 16 in Surat. The summit is expected to attract over 20,000 participants, including more than 200 startup founders, 200 venture capitalists, and over 500 investors. IVY Growth Associates has a strong track record, having invested in over 100 growth-stage startups. The firm has deployed Rs 20 crore from its fund and utilized more than Rs 80 crore from syndicate funds within its network. IVY’s portfolio includes notable brands such as Rupeek, BluSmart, and ZappFresh. The demand momentum in the real estate market, especially the residential segment, has spurred the growth of real estate startups, called PropTech, some of which have attained unicorn status while there are several others on the way. In startup ecosystem, fundings are very common and exits are very very rare. If founders have a chance of funding v/s exit - they should optimise for what's rare and not what is common. Running a business everyday also means surviving everyday. On somedays, exits make sense for founders. Cash in bank v/s valuation on paper is what it comes down. Yes - there will always be a VC who advices you to take money and build a long-lasting company; remember that VC is optimising for their funds markups and returns, as founder you should optimise what works for you and your team! Founders, be selfish. VCs anyway are!

There is only one way to describe this Budget - "A great Wealth Inclusive budget". Taxing the Speculative Income (mostly generated by HNI community) more and putting that into job creation and other schemes for the underprivileged. Focus on investments into less developed Eastern India is another step in that direction. Regarding the hike in Short Term Capital Gains, it is a welcome move and this paves the way for further hikes in future to bring them closer to 30% like any other Speculative Income. Just to put things into perspective, globally, ST Capital Gains are taxed as per the income tax slabs of respective individuals. So, we are still paying far fewer taxes on speculative income than our counterparts abroad. Markets will digest this sooner and move on to the ongoing long-term wealth creation journey!! #budget2024

India Budget 2024- The Balanced One The Budget on expected lines prioritized fiscal consolidation pegging it to 4.9% for FY25 and bringing it to 4.5% by FY26.Capex momentum maintained at 3.4% of GDP and focused on medium term growth potential through skill enhancements and job creation. So , today I came across this news that SEBI has proposed a new asset class placed between mutual funds and PMS for high risk taker investors. They have put the minimum threshold for investment in this product as a minimum of 10 lacs , which could be good for investors who don’t wish to invest 25 lacs in a PMS but still want to take advantage of different investment strategies. The difference between a mutual fund , PMS and this new asset class is that SEBI has proposed this new asset class to invest in derivatives for purpose other than hedging and rebalancing. That means the fund can take advantage of volatility in futures and options , more so in case of big events or geopolitical events. However this new asset class will be more riskier than traditional MFs and therefore they will be branded and advertised differently. Also, all mutual fund houses or AMCs can offer this new product once launched officially. However there are conditions in this new asset class under which investment in derivatives can be done , the conditions are stated in the article attached . As an investor one can think of deploying their capital in this asset class but with a Clarity that it’s certainly a high risk instrument. Lastly, one of the unique strategy that will be launched under this new asset class is Inverse ETF, also called “short ETF” or “bear ETF”, this strategy seeks to add returns that are inversely proportional to the returns of the underlying index. Another strategy, the fund will use to seek returns is by taking long and short positions in stocks at the same time, something the traditional mutual funds are not allowed to do . SEBI will now take suggestions in this proposal till august 6 and then decide upon the final launch date. Founders who received Stocks of US entity through "Gift" are being questioned by ED, as there is a FEMA vilotion. 2. If Stock gifts received from a relative abroad, there is no issue. 3. However, if Gift received from third party - such gift needs to be in accordance with the provisions of FCRA. It is unclear at this stage whether the persons questioned by ED would be able to regularise the contravention by a paying or would have to unwind either the FDI or ODI leg to fall in line with FEMA. Hence we suggest you to keep the document in place for submission, if there is a Notice issued on this subject.

There’s been a lot of buzz about the new asset class that SEBI has recently proposed and for good reason. There was definitely a need to fill the gap between the Mutual Funds (MFs) and PMS asset classes as the investors lying in this zone were vulnerable to unregulated market practices. Now with the minimum investment limit of INR 10 lakhs, the investors can take high risk bets in the derivative market through the MF houses which is well regulated and transparent. But one major aspect which will drive participation for the new asset class will be the tax structure. SEBI is open to suggestions till 6th of August after which we will have a clearer picture. SEBI's Special Call Auctions: A Game-Changer for India's Holding Companies Holding companies in India manage diverse business interests but often face double taxation and complex structures, leading to market undervaluation. Giants like Bajaj Holdings struggle with these issues, deterring investors. SEBI is launching special call auctions for holding company stocks in October to boost trading activity and investor interest. This move could transform the market. The call auction system, used for infrequently traded stocks, could enhance transparency and accurate valuation by concentrating trades into specific periods, addressing the price inefficiencies holding companies suffer due to low trading volumes. SEBI envisions a vibrant marketplace where everyone has a fair trading chance. Annual call auctions could attract both institutional and retail investors, improving market perception and stock performance. However, success hinges on several factors. Firstly, educating investors is crucial. Fintech platforms and brokers must clarify the workings of holding companies and call auctions through webinars and research reports. Secondly, technology is key. Advanced trading platforms and real-time data analytics are essential to handle increased auction activity. Fintech companies can innovate, providing insights into market trends and auction outcomes, boosting investor confidence. Lastly, SEBI’s continuous support and monitoring are vital. Regular feedback and adaptive policies can refine the auction process over time. As we near this initiative, the question is whether special call auctions will revitalize India's holding companies. By increasing liquidity and unlocking value, SEBI's strategy could change investor perceptions and revive interest in these crucial market players. With October approaching, anticipation builds for this innovative approach to close the gap between potential and performance.
