⚖️ The amended Danish Competition Act comes into force today ⚖️ From an M&A perspective, the most notable change is that Konkurrence- og Forbrugerstyrelsen (the Danish Competition and Consumer Authority, hereinafter referred to as “the Authority”) is now empowered to call in potentially harmful mergers regardless of whether the thresholds are met. Until today, the Authority had no jurisdiction if the turnover thresholds were not met by the parties. 📊 For the Authority to call in a merger below the turnover thresholds, the parties to the merger must have a combined annual turnover in Denmark of at least DKK 50 million, and the Authority must foresee a risk that the concentration significantly impedes effective competition, particularly due to the creation or strengthening of a dominant position. ⏳ As a rule, the Authority must call in the merger no later than three months after a merger agreement has been concluded, a takeover bid has been announced, or a controlling interest has been acquired. The three months are calculated from the earliest of those dates. 🔍 Further, the Authority is now authorized to conduct so-called market investigations into behaviours or structures in one or more business sectors. If such market investigations reveal conditions that significantly weaken competition to the detriment of consumers or other businesses, the parties may be ordered to change their behaviour. 🇪🇺 Finally, the amendment introduces new principles for calculating fines. The purpose is to ensure that fines reflect the economic impact of a given violation, aligning more closely with the principles for calculating fines used by the European Commission and several other EU countries. If you have any questions or require additional information, please contact Moalem Weitemeyer's Partner Pernille Nørkær or Senior Associate Jeanette Kjeldgaard Rasmussen 📬 #weevaluate #legalnews #legalnewsinbrief #competitionact #competition

🤾♀️ Supporting young talent in sports 🤾♀️ Moalem Weitemeyer sponsored Ida Götzsche, a rising young player in Danish handball. Ida is seen here in the first photo representing København Håndbold A/S, a top-tier club in Copenhagen that competes both domestically and on a European level. It is a great joy for us when we can help create better opportunities for children and young people and support them in their dreams, and Ida is a prime example of a dedicated young person with a promising future ⭐ Our sponsorship has earned the Moalem Weitemeyer logo a prominent spot on the team's jersey, as showcased by Service Assistant Victoria Helmundt Bloch (second photo) ⛹️♀️ #wemotivate #sports #handball #sponsorship #support #dreams

🇪🇺 EU implements 14th Sanctions Package targeting Russia 🇪🇺 Today, 24 June 2024, the Council of the European Union announced the adoption of the European Union’s 14th sanctions package targeting Russia. This latest round of sanctions aims to close loopholes, prevent the circumvention of existing restrictions, and introduce new energy-related measures to further weaken Russian war efforts. The new sanctions package specifically targets six different sectors and includes new entities added to the EU sanctions list: 🔋 Energy: The package introduces additional measures to curb Russia’s liquefied natural gas (LNG) exports to third countries. It includes restrictions on the handling of Russian LNG by EU ports and operators and further prohibits investments and technological assistance to the Russian LNG sector. 🚫 Anti-circumvention: EU companies must implement measures to ensure that their subsidiaries located in third countries do not engage in activities that EU sanctions seek to prevent. Additionally, companies exporting battlefield goods to third countries must implement due diligence measures to ensure that such components are not re-exported to Russia. 🏦 Finance: The sanctions package bans EU entities from connecting to the SPFS, a Russian equivalent to SWIFT. Furthermore, EU entities are prohibited from engaging with certain third-country entities using SPFS outside Russia. 💰Russian Funding: European political parties and organizations, including NGOs, think tanks, and media service providers, are prohibited from receiving funding from the Russian state and its proxies. 🚛 Transport: Certain specified vessels will be subject to sanctions preventing them from accessing ports and services in the European Union. Additionally, the existing EU flight ban is expanded, alongside the prohibition on the transport of goods by road. ➡ Import and export restrictions: New entities are added to the list of those subject to tighter restrictions on the export of dual-use goods. New goods considered capable of enhancing Russia’s defense and security sector are included, and new sanctions on goods that contribute to the enhancement of Russian industrial capabilities are introduced. The introduction of the 14th sanctions package is a reminder that sanctions in light of the Russian invasion of Ukraine are still prevalent and expanding. EU entities should be diligent in observing these changes and implementing proper compliance measures. 📫 If you have any questions or require additional information, please contact Moalem Weitemeyer’s Partner Pernille Nørkær, Senior Associate Jeanette Kjeldgaard Rasmussen, or Associate Henrik Ringgaard Diget. #weevaluate #eulaw #politicalsanctions
